Overview

 

Provide legal representation and advice to the Company’s senior management team and various business units (collectively "clients"), primarily supporting Bancorp’s niche lending business lines.

 

Responsibilities

 

Duties and Responsibilities:

1. Provide timely, effective and accurate legal support to the company and its respective business units with primary focus on the securities-backed lines of credit, consumer and commercial credit products, specialized Small Business Administration lending and commercial fleet leasing. Duties include:

      a. Consult with clients on a wide range of business strategies, including new credit-related products, services or operational practices and advise on legal risks associated with such strategies.

 

      b. Support clients on transactional matters, including drafting, reviewing, interpreting and negotiating business agreements, consistent with the company’s policies, procedures and applicable law and supervisory guidance.

 

      c. Interpret statutes, regulations, supervisory guidance and case law developments applicable to the company’s business activities and provide legal advice and counsel to clients accordingly.

 

      d. Collaborate with the company’s compliance and risk management staff on legal and regulatory matters in connection with the implementation of the company’s risk management programs or other initiatives of the company.

 

      e. Interact directly with counsel for the company’s affinity partners, third party service providers and vendors with respect to the provision of Bancorp’s products and services.

 

     f. Collaborate with outside counsel in providing legal support on lending matters.

 

2. Maintain a working knowledge of a wide range of state and federal banking laws and regulations, principally in the area of lending and credit, as well as other corporate and commercial laws and regulations relevant to the company and its subsidiaries.

 

3. Monitor applicable statutory, regulatory and case law developments, assess the impact on the company’s products and services, and provide practical and accurate oral and written updates to affected clients.

 

4. Maintain familiarity with the company’s various lending business units and lending product lines with specific focus on the company’s non-purpose lending through securities-backed lines of credit and emerging credit sponsorship products.

 

5. Maintain familiarity with products and services offered through Bancorp’s various niche lending divisions.

 

6. Perform such other attorney duties as may be assigned by the company’s General Counsel.

 

 

Qualifications

Education/Experience:

  •  A law degree from an accredited law school
  •  A license to practice law (in good standing)
  •  A minimum of 5 years successful and relevant banking and lending experience in a law firm or in-house corporate legal capacity
  •  Experience with state and federal consumer finance regulations including TILA/Reg. Z, ECOA/Reg. B, FCRA, UDAAP, privacy and usury laws in the areas of consumer secured and unsecured loans and a wide range of commercial loans, experience with Articles 8 and 9 of the Uniform Commercial Code, experience with offering bank products through private label product offerings and through referral relationships, and experience with credit issuance for consumer and commercial lending (with some emphasis on marketplace lending).

 

 Preferred experience, subject matter expertise and interest in:

  • o Consumer lending
  • o General commercial secured and unsecured lending
  • o Private label/affinity group arrangements for banking services
  • o Working knowledge of the investment advisory and custody industry, including knowledge of the relationships of broker-dealers, independent investment advisory firms, securities intermediaries/custodians of securities accounts
  • o Account Control Agreements and perfection of security interests under the Uniform Commercial Code
  • o Credit sponsorship, including loan participations, loan sale agreements, table-funding and other concepts related to the origination and disposition of consumer and commercial loans
  • o Commercial vehicle and equipment leasing
  • o Safe Harbor IRAs
  • o Commercial agreement drafting and negotiation
  • o Loan agreement and disclosure drafting

Other Qualifications:

  •  Familiarity with applicable laws and regulations impacting the regulation of federally insured depository institutions
  •  Familiarity with applicable laws and regulations impacting commercial banking transactions, including the ability to engage in legal research in order to maintain accurate and current knowledge of applicable commercial and banking laws and regulations
  •  Ability to understand key business and strategic objectives of the company and integrate business, legal, and regulatory concepts in order to provide sound business advice
  •  Ability to professionally interface (both orally and in writing) with senior executives, business unit management and staff, state and federal regulators and officials, outside counsel, and significant business partners
  •  Ability to work with highly confidential and sensitive business information and to maintain high standards of confidentiality related thereto
  •  Ability to work independently and in a team environment to achieve department goals and objectives consistent with the company’s standards of excellence
  •  Ability to manage multiple and/or shifting priorities, and produce professional and accurate work product, sometimes under time constraints
  •  Excellent verbal, written, and interpersonal communication skills
  •  A team player able to work effectively in a team fostered, multi-tasking environment
  •  Proficient in Microsoft Office suite, e.g. Excel, PowerPoint, Word, Outlook
  •  Position is required to travel periodically in the United States
  •  Location in Wilmington, DE
