Paralegal and Corporate Administration Specialist

Overview

This position provides paralegal-related support to the Company’s Legal Department with a focus on corporate governance and administration, regulatory communications, and legal project management.

Responsibilities

  1. Support the Company’s General Counsel in connection with preparing for and documenting Board and Executive management events, including assisting in the effective management of Board and Committee governance, including the development of meeting agendas, assisting with line of business presentations, proposed resolutions, and other meeting materials and presentations.
  2. Attend Board and Executive Management meetings as directed by the General Counsel, record minutes and actions taken and work with members of executive management in effectively documenting Board and Committee actions.
  3. Provide paralegal support to in-house attorneys in connection with transactional matters, administrative or other regulatory filings, litigation matters and outside counsel engagements.
  4. Manage and coordinate corporate filings, regulatory communications, other legal or regulatory communications generated by the Legal Department.
  5. Interface with members of senior management in connection with developing and documenting effective responses to regulatory inquiries and findings and assist in assembly of relevant documents in support of management responses to legal and regulatory inquiries.
  6. Coordinate and facilitate Legal Department review and approval of enterprise risk management (“ERM”) initiatives, and liaise as needed with members of the ERM staff and line of business management regarding a wide range of internal projects or initiatives requiring Legal or Risk Management support.
  7. Work effectively within cross-discipline teams, and develop e.g. relationship managers, etc. to communicate and educate on contract issues. Inform teams of upcoming deadlines and schedules and acts as a central point of contact to coordinate the resolution of contract specific issues for the compliance team.
  8. Prepare ad hoc and standard reports for management regarding the status of various legal projects.
  9. Perform other related duties as assigned.

Qualifications

Education/Experience:

  • A Bachelor’s Degree in a related field, a paralegal designation or an equivalent combination of training and experience.
  • A minimum of 2 years paralegal or corporate administration experience.

 

 

Other Skills and Qualifications To Be Successful in this Position:

  • Working knowledge of corporate governance process and procedure, and documentary standards in connection with Corporate Board and Committee activity.
