As a member of the Legal Department of The Bancorp, Inc. and its subsidiary, The Bancorp Bank, N.A., ( collectively “Bancorp”) the Director, Lending Counsel will collaborate with members of the Legal Department to provide legal advice and support to Bancorp’s senior management team and various business units (collectively “Clients”), with a primary focus on credit-related products.  This role will require strong collaboration with non-attorney regulatory risk professionals within the Bancorp to provide responsive and accurate support to Clients.

Responsibilities

Essential Functions   

  1. Maintain familiarity with credit-related activities of Bancorp’s lines of business and provide legal and regulatory consultation and advice on a wide range of credit-related business strategies, including supporting Bancorp’s existing suite of consumer and commercial credit products, and related operational credit practices.
  2. Collaborate with Clients and related stakeholders in the development of new and innovative credit products and develop or coordinate the outsourced development of applicable credit agreements, disclosures and ancillary documents that meet the company’s business objectives and comply with applicable law and supervisory guidance.
  3. Support internal Clients in connection with business development and client engagement through negotiating and drafting agreements with Bancorp’s business partners.
  4. Engage in legal research and industry monitoring related to new and emerging credit-related products and assist management in evaluating the risks and opportunities within the marketplace.
  5. Interpret statutes, regulations, supervisory guidance, enforcement trends and case law developments applicable to Bancorp’s credit-related business activities and provide legal advice and counsel to Clients.
  6. Collaborate with the Bancorp’s compliance and risk management staff on legal and regulatory matters impacting the credit function advise on remediation and risk mitigation strategies.
  7. Effectively interface with Bancorp’s external business partners, auditors and regulators and be a positive advocate for the company and its business plan and strategic initiatives.
  8. Oversee the work of outside counsel in connection with any outsourced credit-related legal work.
  9. Maintain a working knowledge of applicable state and federal banking laws and regulations as well as corporate and commercial laws and regulations relevant to consumer lending, commercial lending, real estate lending and commercial leasing.
  10. Monitor statutory, regulatory and case law developments, assesses the impact to Bancorp’s credit-related products and services, and provide oral and written updates to impacted Clients.
  11. Collaborate with other members of the Legal Department in managing legal projects and provide reporting to management committees on the status of legal projects and strategic initiatives as needed.
  12. Perform other duties as assigned.

Qualifications

Education/Experience Requirements

  • Law degree from an accredited law school
  • 6-8 years law firm or in-house corporate legal / financial services industry experience, with demonstrated success in working with business teams of varying organizational levels to achieve business goals
  • License to practice law (in good standing)

 

 

 

Preferred Requirements

  • Familiarity with and/or subject matter expertise in:
    • Laws and regulations impacting consumer and commercial lending transactions as well as ancillary relevant laws, including but not limited to TILA and Regulation Z (open- and closed-end credit); Uniform Commercial Code and Article 9; Equal Credit Opportunity Act and Regulation B; Home Mortgage Disclosure Act and Regulation C; Consumer Leasing Act and Regulation M; Fair Credit Reporting Act and related state laws.
    • Laws and regulations focused on financial crimes prevention, including the Bank Secrecy Act and related Anti-Money Laundering requirements (e.g., CIP/KYC requirements) and regulations of the Office of Foreign Assets Control (OFAC).
    • Payment network rules involving network settlement and credit card transactions.
    • Emerging credit products and credit-related business models, including buy-now-pay-later products, credit sponsorship, etc., and experience working with Fintechs and other non-traditional lenders and other disruptors entering the credit ecosystem.
  • Familiarity with laws and regulations impacting the regulation of federally insured depository institutions.
  • Familiarity with laws and regulations impacting commercial banking transactions, including the ability to engage in legal research in order to maintain knowledge of commercial and banking laws and regulations.
  • Ability to understand key business and strategic objectives of the Bancorp and integrate business, legal, and regulatory concepts in order to provide sound business advice.
  • Ability to interface (both orally and in writing) with senior executives, business unit management and staff, state and federal regulators and officials, outside counsel, and significant business partners.
  • Ability to work with highly confidential and sensitive business information and to maintain high standards of confidentiality.
  • Ability to work independently and in a team environment to achieve department goals and objectives consistent with the Bancorp’s standards of excellence.
  • Ability to manage multiple and/or shifting priorities, and produce professional and accurate work product, sometimes under time constraints.

Salary Information for CO Residents Only

$138,200 - $184,500
